Senior Transaction Manager (m/f/d)
Your Tasks
Deal Origination & Sourcing
- Proactively source acquisition and disposal opportunities pan-European, with a focus on Germany, CEE/Poland, UK and Southern Europe, across office, hotel, residential/BTR, and development assets.
- Build, maintain, and leverage a high-quality network of investors, owners, brokers, developers, banks, and JV partners to generate proprietary deal flow.
- Identify off-market opportunities and develop creative approaches to sourcing — think beyond the marketed process.
Transaction Execution & Structuring
- Own the full deal lifecycle end-to-end: sourcing, investment screening, underwriting, structuring, due diligence, negotiation, documentation, and closing.
- Structure complex transactions including asset and share deals, JVs, forward purchases/sales, for both balance sheet and fund strategies; coordinate legal, tax, and financing workstreams.
- Lead negotiations with sellers, buyers, JV partners, and advisers; draft and finalise LOIs, term sheets, SPAs, and other transaction documents.
- Manage signing and closing processes, including CP tracking, condition satisfaction, and post-closing coordination.
Investment Analysis & Decision-Making
- Develop and/or oversee development and stress-testing of financial models (DCF, IRR, equity waterfall) for acquisitions, disposals, and JV structures across all asset classes.
- Prepare or oversee preparation of investment memoranda and board presentations that articulate investment thesis, risk/return profile, and strategic rationale with conviction.
- Evaluate development, repositioning, and conversion opportunities; assess planning, zoning, capex requirements etc.
Stakeholder and Team Management. Reporting
- Act as a senior point of contact for external counterparties — investors, sellers, brokers, advisers, and financing partners.
- Oversee, lead, train and nurture team of analysts and junior colleagues and support their growth and professional development.
- Coordinate cross-functionally with Asset Management, Finance, Legal, and Tax to drive deals to close.
- Report directly to the Co-Head of Transactions; contribute to team strategy, process improvement, and junior staff development.
Your Profile
Experience & Track Record
- 5–10+ years of hands-on transaction experience on the investor side — acquisitions, disposals, or both — within real estate private equity, investment management, M&A, or capital markets advisory.
- Demonstrated track record of independently sourcing, structuring, and closing real estate transactions of meaningful scale (€20M+).
- Experience with complex deal structures (share deals, JVs, forward transactions, fund vehicles) and cross-border transactions is strongly preferred.
- Degree in Business, Real Estate, Finance, or Law.
Skills & Competencies
- Advanced financial modelling (Excel-based DCF / IRR / waterfall) — non-negotiable; ability to build and interrogate models independently.
- Strong command of transaction documentation; able to negotiate and red-line legal documents alongside counsel.
- Established market network across Germany and/or broader Europe — investors, owners, brokers, lenders.
- Proficient with AI tools, CRM platforms, and data room environments; tech-savvy and process-driven.
